The company Qbid AB, with corporate registration number 559478-3077, will be referred to in this document as BidPal.ai, which is our brand name.

Welcome to BidPal.ai (the “Service”), a platform that leverages artificial intelligence to assist users in creating and managing bids. These Terms of Use (the “Terms”) govern your access to and use of our Service. By accessing or using BidPal.ai, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By registering for, accessing, or using BidPal.ai, you acknowledge that you have read, understood, and agree to these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. The Service

BidPal.ai uses artificial intelligence to provide bid recommendations based on data provided by you. You understand and agree that:

  • BidPal’s.ai AI-generated recommendations are suggestions and not guarantees of success.
    You are solely responsible for reviewing and validating all bids before submitting them.
    BidPal.ai does not guarantee the accuracy, completeness, or reliability of any AI-generated recommendations.

3. Use of the Service

You agree to use the Service in compliance with these Terms and applicable laws. Specifically, you agree not to:

  • Use the Service for any unlawful or fraudulent purposes.
  • Share your account credentials with unauthorized third parties.
  • Manipulate or interfere with the Service’s algorithms or systems.
  • Attempt to reverse engineer or extract the underlying source code of the Service.

4. Data Collection and Privacy

To provide the Service, BidPal.ai may collect and process data that you input, including past bids and business-related information. By using the Service, you agree to our data practices as outlined in our Privacy Policy. Key points include:

  • Data provided by you remains your property.
  • BidPal.ai may use anonymized and aggregated data to improve the Service.
  • You can request the deletion of your personal data in accordance with applicable laws.

5. Ownership of AI-Generated Content

All AI-generated content, including bid recommendations, is provided for your use. You retain ownership of the bids created using the Service. However, BidPal.ai retains the right to use anonymized and aggregated data derived from your use of the Service to enhance and improve its functionality.

6. User Data and Model Training

BidPal.ai does not train AI models on your individual user data or content.

7. Payment Terms

If the Service requires a subscription or payment, the following terms apply:

  • Fees: You agree to pay all applicable subscription fees as outlined at the time of purchase.
  • Renewal: Subscriptions may renew automatically unless canceled in accordance with the cancellation policy.
  • Refunds: Payments are non-refundable, except as required by law.

8. Service Availability

While BidPal.ai strives to provide uninterrupted access to the Service, we do not guarantee that the Service will always be available or error-free. Maintenance, updates, or unforeseen issues may result in temporary downtime.

9. Disclaimers

The Service is provided “AS IS” without warranties of any kind. To the fullest extent permitted by law, BidPal.ai disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • AI-generated recommendations may contain errors or inaccuracies.
  • BidPal.ai is not responsible for the outcomes of any bids or decisions made based on its recommendations.

10. Limitation of Liability

To the maximum extent permitted by law, BidPal.ai, its affiliates, and its licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless BidPal.ai and its affiliates from and against any claims, damages, liabilities, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Updates to the Service and Terms

BidPal.ai reserves the right to update, modify, or discontinue the Service at any time. We may also revise these Terms from time to time. Material changes will be communicated to you, and your continued use of the Service constitutes your acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Sweden, without regard to its conflict of laws principles. Any disputes arising under these Terms will be resolved through binding arbitration in accordance with the rules of International Chamber of Commerce (ICC).

14. Termination

BidPal.ai reserves the right to suspend or terminate your access to the Service if you violate these Terms or if we are required to do so by law. Upon termination, your right to use the Service will cease immediately.

15. Promotional Offer Terms

From time to time, BidPal.ai may offer promotional discounts, special pricing, or other limited-time offers (“Promotional Offers”) to new or existing users of the Service. The following terms govern any Promotional Offers and are subject to change at BidPal.ai’s sole discretion:

  • Eligibility
    Promotional Offers are available only to users who meet the specific criteria set forth by BidPal.ai at the time of the promotion. These criteria may include, but are not limited to, specific subscription plans, usage limits, or registration periods. BidPal.ai reserves the right to modify the eligibility requirements at any time.
  • Discounts and Pricing
    Promotional Offers may apply to the subscription fees for the Service and will be clearly outlined during the promotional period. Any discounts or promotional pricing are only valid for the duration of the promotion, and are not guaranteed to be extended or renewed. BidPal.ai retains the right to modify, withdraw, or cancel the Promotional Offer at any time without prior notice. Additionally, regular subscription fees will apply once the promotional period ends unless otherwise specified.
  • Non-Transferability
    Promotional Offers are non-transferable, non-exchangeable, and cannot be combined with any other discounts, offers, or promotions. The benefits of the Promotional Offer are intended solely for the registered user and may not be transferred or assigned to any other person or entity, including but not limited to transferring accounts, discount codes, or any associated benefits to third parties or other businesses.
  • Changes to Promotional Offers
    BidPal.ai reserves the right to modify, suspend, or terminate any Promotional Offer at its discretion. This includes the ability to adjust pricing, eligibility, or other terms associated with the offer. BidPal.ai will make reasonable efforts to communicate any such changes to affected users, but users acknowledge that the Company is not required to provide prior notice.
  • Account Modifications
    In the event that a user modifies their account or subscription plan during the Promotional Offer period (e.g., downgrading to a lower-tier plan), the user may lose the benefits of the Promotional Offer. BidPal.ai reserves the right to adjust, terminate, or revoke any discounts or promotional pricing in these cases.
  • Limitations
    Promotional Offers are subject to availability and may be limited in scope, including geographical restrictions, plan-specific terms, and time-sensitive limitations. BidPal.ai is not responsible for any loss, damage, or expenses incurred by users who are ineligible for the Promotional Offer.
  • Account Closure and Suspended Accounts
    In the event that a user’s account is suspended, terminated, or cancelled for any reason, any Promotional Offer or discount applied to the account will be forfeited. Users are not entitled to a refund for any unused portion of the Promotional Offer if their account is suspended or terminated before the end of the promotion.
  • No Transfer of Rights or Benefits
    You may not assign, transfer, or otherwise delegate any of your rights or obligations under this Promotional Offer to any third party. Any attempt to do so may result in the immediate cancellation of your participation in the offer.
  • Miscellaneous
    By participating in a Promotional Offer, you acknowledge and agree to the full terms of the promotion, including any limitations or restrictions that apply. These Promotional Offer Terms are subject to change and are governed by the general terms and conditions of the BidPal.ai Terms of Use, except where expressly stated otherwise.
